These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and HyreFox Consultants Limited, a company incorporated under the Companies Act, 2013, having its registered office at 28, Frontier Colony, Adarsh Nagar, Jaipur, Rajasthan – 302004, India8 (“Company”, “we”, “us”, “our”), governing your access to and use of the Xenhire platform available at https://xenhire.com (“Platform”), including related services, features, content, and applications (collectively, the “Services”).

1. Acceptance of Terms

By accessing, browsing, registering, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Cookie Policy, and any additional guidelines or terms applicable to specific features or services.

If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction (whichever is higher) to use the Services. By using the Services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement;
• You are not prohibited from using the Services under any applicable law;
• You are using the Services for lawful purposes only.

3. Services Overview

Xenhire provides an AI-powered candidate screening and mock interview platform for educational institutions, recruiters, and job seekers. Features include but are not limited to:

• Video-based mock interview simulations
• AI-driven performance analytics
• Resume/CV parsing
• Candidate profiling and employer matching
• Institutional dashboard and reporting tools

We reserve the right to modify, suspend, or terminate any part of the Services at any time, with or without notice.

4. Account Registration and Responsibilities

To access certain Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain the confidentiality of your credentials;
• Notify us immediately of any unauthorized use or security breach.

You are solely responsible for all activities under your account. We are not liable for any loss or damage arising from unauthorized access.

5. License and Usage Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, academic, or internal business use.

You agree NOT to:

• Reverse-engineer, decompile, or create derivative works from the Platform;
• Use automated systems (bots, scrapers) to access the Platform;
• Transmit viruses or malicious code;
• Interfere with security-related features;
• Use the Services in any way that violates applicable laws or third-party rights.

6. User Content

You may upload, post, or transmit data including resumes, videos, interview responses, and other content (“User Content”). By doing so, you:

• Grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, reproduce, analyze, and process such User Content solely to provide and improve the Services;
• Represent that you own or have lawful rights to such content, and that it does not infringe any third-party rights or violate any law.

We do not claim ownership of your content, but we reserve the right to remove or restrict access to any User Content that violates these Terms or applicable law.

7. AI Processing and Automated Decisions

Our Services use AI technologies to analyze User Content and generate results including interview scores, suggestions, and matches. These outputs are:

• ADVISORY IN NATURE and do NOT constitute professional, legal, or hiring decisions;
• Generated using algorithmic processes which may include profiling and inference;
• Not guaranteed to be error-free, complete, or appropriate for all contexts.

You acknowledge and accept the use of automated tools and waive any liability claims based solely on automated decisions.

8. Fees and Payments

Certain Services may be subject to payment. All fees:

• Are listed in the applicable currency and are exclusive of taxes unless otherwise stated;
• Are non-refundable, unless otherwise agreed in writing;
• Must be paid using authorized payment methods.

We reserve the right to revise pricing and billing terms at any time. Continued use of paid Services constitutes acceptance of revised terms. We also reserve the right to cancel any paid order due to any reason whatsoever.

9. Intellectual Property Rights

All rights, title, and interest in and to the Platform, including software, AI models, content, trademarks, and all intellectual property therein, are and shall remain the exclusive property of the Company and its licensors and the respective owners.

Except as expressly stated herein, these Terms do not grant you any rights to our intellectual property.

10. Third-Party Services and Links

Our Platform may contain links to third-party websites or services. We do not control, endorse, or assume responsibility for any third-party content, products, or practices. Your interactions with such third parties are solely between you and them.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for:

• Breach of these Terms;
• Violation of applicable law;
• Abusive or fraudulent behavior.

Upon termination, all licenses and rights granted to you shall cease, and your data may be deleted in accordance with our retention policies.

12. Disclaimers

The Platform and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be secure, error-free, or uninterrupted, or that the results obtained will be accurate or reliable.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall HyreFox Consultants Limited, its Affiliates, Directors, Officers, Employees, or Agents be liable for any:

• Indirect, incidental, punitive, special, or consequential damages;
• Loss of profits, data, reputation, or business;
• Errors or inaccuracies in AI-generated content.

Our total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid (if any) by you to use the Services in the preceding 12 months.

14. Indemnification

You agree to indemnify, defend, and hold harmless HyreFox Consultants Limited and its affiliates from any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of:

• Your use or misuse of the Services;
• Your User Content;
• Your violation of these Terms or any applicable law.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

All disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

For users located in jurisdictions with mandatory consumer protection laws (e.g., EEA, California), such laws shall apply to the extent required and shall not override provisions herein to the extent they are legally binding.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or on the Platform. Continued use of the Services after such updates constitutes your acceptance of the revised Terms.

17. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between the parties regarding the subject matter and supersede any prior agreements.
• Waiver: Failure to enforce any right shall not be deemed a waiver.
• Severability: If any provision is held to be invalid, the remainder shall remain in full force and effect.
